Selling a business in Pennsylvania.
Masswell advises Pennsylvania owners on confidential sales of trades, manufacturing, distribution and professional services businesses — including the bulk sale clearance certificates buyers require and a falling corporate tax rate that affects deal structure.
- Tax on the gain
- Flat 3.07% personal income tax; gains form their own income class.
- Before closing
- Sales of more than 51% of assets require bulk sale clearance (REV-181) and a 10-day notice to Labor & Industry.
- Trade licenses
- Mostly municipal; home improvement contractors register with the Attorney General.
- Non-competes
- Common law; employee non-competes don’t pass to a buyer in an asset sale without an assignability clause.
What buyers see in Pennsylvania.
Pennsylvania has some of the oldest housing in the country — the median home was built in 1964, and a quarter of homes predate 1940 — creating durable demand for plumbing, electrical and HVAC service and replacement.
Population grew modestly in 2024–25. With deep manufacturing and distribution bases around Philadelphia, Pittsburgh and the Lehigh Valley, Pennsylvania is an active market for industrial and services acquisitions.
Industries we advise in Pennsylvania:
How a sale is taxed in Pennsylvania
- Pennsylvania’s personal income tax is a flat 3.07%. Net gains from dispositions of property are one of eight income classes, and losses in one class can’t offset income in another.
- The Corporate Net Income Tax is falling: 7.49% in 2026, 6.99% in 2027 and 6.49% in 2028, down to 4.99% from 2031. For C corporations, the year of an asset sale can make a real difference.
- Local earned income and net profits taxes may also apply.
Tax clearance and successor liability
- When a business transfers more than 51% of its assets — including real estate or a class of assets such as machinery — purchasers must obtain bulk sale clearance certificates from the seller. The application is Form REV-181.
- The seller must also give the Department of Labor & Industry a written ten-day notice for unemployment compensation tax, and send a copy of the REV-181.
- Build these steps into the closing timeline; buyers will treat them as conditions.
When a trades business changes hands
- Plumbing, electrical and HVAC licensing in Pennsylvania is largely handled by municipalities — for example Philadelphia’s Department of Licenses and Inspections — so requirements depend on where you work.
- Home improvement contractors doing $5,000 or more a year must register with the Attorney General and report changes in principals or ownership within 30 days.
- Confirm each municipal license your business relies on, and who holds it, before going to market.
Seller non-competes in Pennsylvania
Pennsylvania applies common law. In Hess v. Gebhard (2002), the Supreme Court held that covenants must protect a legitimate interest such as goodwill and be reasonable, and that sale-of-business covenants get a less strict test. Importantly for buyers, employee non-competes do not pass to the buyer in an asset sale unless they contain an assignability clause.

Selling a business in Pennsylvania: FAQ
Do I need a bulk sale clearance to sell my Pennsylvania business?
If you are transferring more than 51% of the business’s assets, yes. Buyers must obtain bulk sale clearance certificates (Form REV-181), and the seller must give Labor & Industry a ten-day notice for unemployment compensation tax.
How is the sale of a business taxed in Pennsylvania?
Individuals pay a flat 3.07% on gains. C corporations pay Corporate Net Income Tax, which falls each year from 7.49% in 2026 toward 4.99% in 2031 — so timing can matter for an asset sale.
Will my employees’ non-competes transfer to a buyer?
Not automatically in an asset sale. Under Pennsylvania law, employee non-competes pass to a buyer only if they include an assignability clause. Review your agreements before a sale.
Who licenses trades businesses in Pennsylvania?
Mostly municipalities, plus home improvement contractor registration with the Attorney General. Requirements vary by city and county, so confirm each license and who holds it.
What is my Pennsylvania business worth?
